Acceptance of these terms

These Terms of Service govern your access to and use of the Orzeko platform, the Orzeko account hub, and the vertical products built on it, including DealerOS and CertGate (collectively, the "Services"). By accessing or using the Services, you agree to these terms. If you are using the Services on behalf of an organization, you agree on its behalf.

Beta services

The Services are offered in invite-only beta. They are provided on an "as is" and "as available" basis and may change, be interrupted, or be discontinued at any time. Features may be added or removed as the product develops, and beta data handling may differ from a general-availability release.

Accounts and access

• Access is invite-only. Sign-in is handled through Orzeko ID, which provides one login across Orzeko apps.
• You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
• You agree to provide accurate information and to keep it current.
• Roles and permissions are managed at the organization level; access to specific products depends on your organization's entitlements.

Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services, other organizations' data, or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer or copy the Services except as permitted by law.
• Upload content you do not have the rights to use.

Your data

You retain ownership of the data you submit to the Services. You grant Orzeko the rights needed to host, process, and display that data to operate and improve the Services. Our handling of personal information is described in our Privacy Policy.

Product-specific terms

CertGate is a decision-support and workflow documentation tool. It does not issue airworthiness certificates or replace the judgment of the authorized DAR-T/designee. DealerOS is provided in beta for dealership operations. You are responsible for your own regulatory, legal, and business decisions when using any Orzeko product.

Intellectual property

Orzeko and its licensors own the Services, including the platform, software, and marks such as the Orzeko name and logo. These terms do not grant you any rights in them except the limited right to use the Services as permitted here.

Disclaimers

To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Orzeko does not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Orzeko will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or related to your use of the Services.

Termination

We may suspend or terminate access to the Services at any time, including during beta. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

Governing law

These terms are governed by the laws of the United States and the state in which Orzeko is organized, without regard to conflict-of-laws principles.

Changes to these terms

We may update these terms as the product evolves. Material changes will be reflected by updating the effective date above. Continued use of the Services after changes take effect constitutes acceptance.
